Introduction
These Terms of Service govern your use of the “Pixel for OpenAI Ads” Shopify app (the “App”), operated by Reach, a service of Inmediato LLC (“we”, “us”). By installing or using the App you agree to these Terms. This covers the Shopify app only, not the joinreach.ai marketing site.
1. The service
The App forwards standard Shopify storefront conversion events (page_viewed, product_viewed, added_to_cart, checkout_started, checkout_completed / order_created) server-side to OpenAI's Conversions API so you can measure OpenAI/ChatGPT Ads performance. It does not place orders, move money, or modify your storefront beyond installing the tracking pixel.
2. Eligibility
You must be an authorized operator of a Shopify store and comply with Shopify's Terms of Service and API License.
3. Your responsibilities
You provide a valid OpenAI Pixel ID and OpenAI Conversions API key in the App settings. You are responsible for keeping them valid. You are responsible for disclosing tracking to your end customers and for having a lawful basis to process their storefront events; for storefront conversion events you are the data controller and Reach acts as your data processor (see Privacy Policy).
4. Fees and billing
Paid plans, where applicable, are billed through Shopify's billing system per the pricing shown in the Shopify App Store listing and in-app. Free plans may be offered. You can change or cancel by changing plan or uninstalling the App.
5. Acceptable use
Do not use the App to violate any law, infringe rights, transmit unlawful data, or attempt to disrupt or reverse engineer the service.
6. Third-party services
The App depends on Shopify and OpenAI. “OpenAI” and “ChatGPT” are trademarks of OpenAI. Reach is an independent app and is not affiliated with, endorsed by, or sponsored by OpenAI or Shopify. Your use of OpenAI's Conversions API is also governed by OpenAI's terms.
7. Data and privacy
Your use of the App is subject to our Privacy Policy, which describes what data the App accesses, stores, and transmits.
8. Warranty disclaimer
The App is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant uninterrupted or error-free operation or any specific advertising or attribution results.
9. Limitation of liability
To the maximum extent permitted by law, Reach and Inmediato LLC are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability for any claim relating to the App will not exceed the amounts you paid us for the App in the three months before the claim.
10. Indemnification
You agree to indemnify and hold harmless Reach and Inmediato LLC from claims arising out of your misuse of the App or your violation of these Terms or applicable law.
11. Term and termination
These Terms apply while the App is installed. You may terminate at any time by uninstalling the App from your Shopify admin. We may suspend or terminate access for breach of these Terms.
12. Changes to these Terms
We may update these Terms; material changes will be communicated via in-app notification and reflected by the “Last updated” date.
13. Governing law
These Terms are governed by the laws applicable to Inmediato LLC in the United States, without regard to conflict-of-laws rules.
